2. Services Offered

The specific scope, deliverables, fees, and service level targets for client engagements are governed by individual SOWs or service contracts executed between Level Cloud Tech LLC and the client.
3. Client Responsibilities
Clients engaging Level Cloud Tech LLC for IT services agree to:
- Provide timely access to relevant cloud tenants, administrative accounts, domain configurations, and technical documentation necessary for service execution.
- Maintain active, valid licenses for third-party software and cloud platforms (e.g., Microsoft 365, Azure, Intune) required for service delivery.
- Ensure all credentials and administrative access delegated to Level Cloud Tech LLC are authorized by the client’s organization.
4. Intellectual Property
All content, branding, website copy, proprietary scripts, templates, and materials published on levelcloudtech.com or developed by Level Cloud Tech LLC remain the exclusive intellectual property of Level Cloud Tech LLC. Client retains ownership of its own data, tenant content, and proprietary business information.
5. Confidentiality & Non-Disclosure
Both parties agree to hold in strict confidence all technical, operational, and business information disclosed during the engagement. Level Cloud Tech LLC will not access, use, or disclose client tenant data except as explicitly required to deliver contracted IT services or comply with law.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- Level Cloud Tech LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business operational downtime.
- In no event shall Level Cloud Tech LLC’s total aggregate liability arising out of or related to services rendered exceed the total amount paid by the client to Level Cloud Tech LLC in the three (3) months preceding the incident giving rise to the claim, or if the client has been engaged for fewer than three (3) months, the total fees paid to date by the client to Level Cloud Tech LLC.
7. Third-Party Platforms & Service SLA Limitations
Our services involve configuring and managing third-party platforms, including Microsoft 365, Azure, and third-party SaaS vendors. Level Cloud Tech LLC is not responsible for platform-wide service outages, infrastructure downtime, or software defects caused directly by Microsoft or other third-party cloud providers.
8. Termination of Services
Either party may terminate a service agreement in accordance with the termination clauses specified in the executed SOW or MSA. Upon termination, Level Cloud Tech LLC will revoke its administrative access to the client’s IT environment and return or destroy confidential client documentation upon request.
9. Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the jurisdiction under which Level Cloud Tech LLC is registered, without regard to conflict of law principles.

At Level Cloud Tech LLC, we provide professional B2B IT consulting, managed IT services, cloud migration, cybersecurity, and automation solutions. Because our services involve dedicated technical labor, cloud resource allocation, and specialized engineer scheduling, this Refund & Cancellation Policy outlines the conditions under which refunds, cancellations, and service credits are handled.
2. One-Time Professional Services & Fixed-Fee Projects
This section applies to professional service engagements, including Microsoft 365 migrations, Intune setup, Azure architecture deployments, Power Automate flows, and security assessments:
- Pre-Kickoff Cancellation: Clients may cancel a project prior to the formal project kickoff meeting or work commencement to receive a full refund of any prepaid deposit, less non-refundable third-party transaction processing fees.
- In-Progress Projects: Once engineering work or tenant discovery has commenced, project deposits and milestone fees are non-refundable. If a client terminates a project mid-execution, Level Cloud Tech LLC will bill for all completed engineering hours and completed project milestones.
- Completed Work: Uponfinal delivery, sign-off, or deployment of the agreed Scope of Work (SOW), all project fees are non-refundable.
3. Monthly Managed IT Retainers & Recurring Subscriptions
This section applies to recurring monthly services, such as Managed IT Support, Endpoint Management (Intune), and Managed SOC/MDR Services:
- Billing Cycles: Monthly subscription fees are billed in advance. Payments made for a current monthly billing cycle are non-refundable.
- Cancellation Notice: Clients may cancel monthly recurring contracts by providing thirty (30) days’ written notice prior to the start of the next billing cycle, unless otherwise specified in an active Master Services Agreement (MSA) or Statement of Work (SOW).
- Service Continuation: Upon receipt of cancellation notice, services will remain active until the conclusion of the paid billing period, after which administrative tenant access will be revoked.
4. Third-Party Licenses & Subscriptions
Level Cloud Tech LLC acts as an administrator and reseller for third-party cloud licenses (including Microsoft 365, Azure, Intune, Defender, Veeam, and AvePoint):
- Non-Refundable Vendor Licenses: All third-party cloud software, SaaS, and domain registration purchases are non-refundable once provisioned, as vendor policies strictly govern license commitments.
- License Quantity Adjustments: Adjustments or seat reductions for committed annual or monthly cloud licenses are subject to Microsoft’s or the respective vendor’s licensing terms and commitment windows.
5. Service Credits & SLA Commitments
In the event of a verified failure by Level Cloud Tech LLC to meet agreed-upon Service Level Agreements (SLAs) or operational deliverables defined in an active contract:
- Service Credits: Remedies will be provided in the form of service credits applied toward future invoices rather than cash refunds.
- Claim Window: To request a service credit, clients must notify Level Cloud Tech LLC in writing within fourteen (14) days of the incident, providing relevant ticket numbers and documentation.
